END USER LICENSE AGREEMENT

This End User License Agreement (“Agreement”) is entered into between Teczon LLC, a company registered in the state of Delaware (“Teczon LLC”), and any end user (“User”) accessing the Ndesks software application (“Ndesks”) via Teczon LLC’s website.

1. Definitions

In this Agreement:

  • “Teczon LLC” refers to Teczon LLC, a company registered in the state of Delaware.
  • “Ndesks” refers to the SAAS-based application developed by Teczon LLC for managing coworking and business centers.
  • “User” refers to any individual or entity accessing Ndesks via Teczon LLC’s website.

2. License Grant

Teczon LLC hereby grants the User a non-exclusive, non-transferable license to access and use Ndesks via Teczon LLC’s website in accordance with the terms and conditions of this Agreement.

3. Permitted Use

The User is permitted to use Ndesks solely for internal business purposes related to managing coworking and business centers. Access to Ndesks is subject to the terms of the subscription plan selected by the User.

4. Restrictions

The User shall not:

  • Modify, adapt, translate, or create derivative works based on Ndesks.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Ndesks.
  • Rent, lease, loan, sublicense, distribute, or otherwise transfer access to Ndesks to any third party.
  • Use Ndesks for any unlawful purpose or in any manner inconsistent with this Agreement.

5. Intellectual Property Rights

Teczon LLC retains all intellectual property rights to Ndesks, including but not limited to copyrights, trademarks, and trade secrets. The User acknowledges that they do not acquire any ownership rights to Ndesks under this Agreement.

6. Ownership of Data

The User retains ownership of any data or content uploaded or entered into Ndesks. Teczon LLC shall not claim ownership of such data or content, but may use it in accordance with its Privacy Policy.

7. Disclaimer of Warranty

Ndesks is provided “as is” and without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

In no event shall Teczon LLC be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use or inability to use Ndesks, even if Teczon LLC has been advised of the possibility of such damages.

9. Indemnification

The User agrees to indemnify and hold Teczon LLC harmless from any claims, damages, liabilities, or expenses (including attorney’s fees) arising out of the User’s use of Ndesks in violation of this Agreement.

10. Termination

This Agreement shall remain in effect until terminated by either party. Teczon LLC may terminate this Agreement immediately upon notice if the User breaches any provision of this Agreement. Upon termination, the User’s access to Ndesks via Teczon LLC’s website shall cease.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of Delaware. Any dispute arising out of or in connection with this Agreement shall be resolved through arbitration in Delaware, with each party bearing its own costs.

12. Updates and Maintenance

Teczon LLC shall provide updates and maintenance for Ndesks as deemed necessary. Updates may be provided automatically or at Teczon LLC’s discretion.

13. Privacy Policy

The User agrees to Teczon LLC’s Privacy Policy, which governs the collection, use, and protection of user data. The Privacy Policy is available on Teczon LLC’s website.

14. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

15. Entire Agreement

This Agreement constitutes the entire agreement between Teczon LLC and the User regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or communications, whether written or oral.

By accessing Ndesks via Teczon LLC’s website, the User acknowledges that they have read and understood this Agreement and agrees to be bound by its terms and conditions.
